About the role
EROAD is seeking an experienced General Counsel & Company Secretary to work with its Auckland-based executive team and lead the legal, governance, risk and insurance functions across the Group.
As a trusted adviser to the Board, CEO and Executive Leadership Team, you will provide strategic and commercially pragmatic advice across significant corporate, commercial, regulatory and governance matters. You will lead complex transactions and negotiations, oversee regulatory and legal risk, and support major business initiatives across New Zealand, Australia and North America.
You will also lead and develop EROAD’s legal team (3 direct reports), oversee enterprise risk and insurance, and act as Company Secretary. EROAD is a highly technology-focused business, so this role will suit a General Counsel who is personally comfortable adopting and using new technology. You will be expected to champion the effective use of AI and legal technology across the team, continually looking for opportunities to improve how legal services are delivered and enable the team to operate more efficiently and strategically.
With significant Board exposure and the opportunity to shape both the legal function and the way it operates, this is a broad and influential leadership role at the heart of the business.
What we’re looking for
· An experienced lawyer with 15+ years’ relevant experience across complex commercial and regulatory matters, ideally including experience as a General Counsel with a current New Zealand practising certificate or eligibility to obtain one.
· Strong commercial judgement and the credibility to influence at Board and executive level
· Commercially confident and comfortable operating at pace to guide ambitious, commercially driven leaders safely through complex legal and regulatory boundaries
· Experience leading complex transactions, negotiations and strategic legal matters
· Strong corporate governance, regulatory and risk management capability
· Proven leadership skills with the ability to build and develop a high-performing legal team
· Strong technology capability and curiosity, with the confidence to embrace AI and emerging technologies personally and lead the legal team in using them to deliver smarter, faster and more effective legal services
· Listed company or similarly regulated corporate experience preferred
· Technology, SaaS or telecommunications experience advantageous
· International experience, particularly across Australia and the US ideal
